Acceptance of these Terms

These Terms of Use ("Terms") govern your access to and use of the websites operated by Autonomous Logistic Solutions Sdn Bhd ("ALS", "we", "us", "our") at als-mobility.com and [app.als-mobility.com / final URL], including any content, functionality and services offered on or through them (together, the "Sites").

By accessing or using the Sites you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Sites.

If you are accessing the Sites on behalf of a company or organisation, you represent that you have authority to bind that organisation, and "you" includes that organisation.

Nature of the Sites

The Sites are informational and lead-generation platforms describing ALS's autonomous logistics vehicles, deployment services, fleet operations and remote operations centre ("ROC") support.

Nothing on the Sites constitutes an offer to supply, lease or operate any vehicle or service. Any supply of ALS products or services is subject to a separate written agreement between ALS and the customer. In the event of any conflict between these Terms and such an agreement, the agreement prevails in relation to the products and services it covers.

Eligibility

The Sites are intended for business and professional users. By submitting a demo request or enquiry you confirm that you are at least 18 years of age and are acting in a business capacity.

Demo requests and enquiries

When you submit a "Request A Demo" or contact form:

•    you agree to provide accurate, current and complete information;

•    you consent to ALS contacting you using the details provided, for the purposes described in our Privacy Policy;

•    ALS is under no obligation to respond to, accept or schedule any demo request, and may decline any request at its discretion;

•    any demonstration, site assessment or proof of concept that ALS agrees to conduct will be subject to separate terms, including safety, access, insurance and confidentiality requirements, to be agreed in writing before it takes place.

Intellectual property

The Sites and all content on them — including text, graphics, logos, images, videos, page layout, software and the "ALS" name and logo — are owned by or licensed to ALS and are protected by Malaysian and international copyright, trade mark and other intellectual property laws.

Third-party marks displayed on the Sites (including the Zelos name, logo and vehicle imagery) are the property of their respective owners and are used with permission or under licence. Nothing on the Sites grants you any right to use any ALS or third-party mark.

You may view, download and print content from the Sites solely for your internal business purposes of evaluating ALS's products and services. You may not otherwise reproduce, modify, distribute, publicly display, create derivative works from, or commercially exploit any content without ALS's prior written consent.

Acceptable use

You agree not to:

•    use the Sites for any unlawful purpose or in breach of any applicable law or regulation;

•    submit false, misleading or fraudulent information through any form;

•    attempt to gain unauthorised access to the Sites, the servers on which they are hosted, or any connected system or database;

•    introduce viruses, malware or other harmful code, or conduct any denial-of-service or similar attack;

•    use any automated means (including scrapers, bots or crawlers) to access, copy or monitor the Sites without our written consent;

•    reverse engineer, decompile or otherwise attempt to derive source code from any software on the Sites;

•    frame, mirror or deep-link to any part of the Sites in a way that misrepresents your relationship with ALS; or

•    use the Sites to send unsolicited commercial communications.

We may suspend or terminate your access to the Sites, without notice, if we reasonably believe you have breached these Terms.

Content, performance data and forward-looking statements

1.    General. Content on the Sites is provided for general information only. While we take reasonable care to keep it accurate and current, it may contain inaccuracies or become out of date, and we make no representation or warranty as to its completeness, accuracy or currency.

2.    Performance and deployment data. Statistics, metrics and outcomes described on the Sites (including distances driven, uptime, incident rates, payload and cargo capacity, and operating hours) relate to specific deployments in specific operating environments and conditions. They are historical or illustrative, are not a guarantee of future performance, and may not be representative of results in your operating environment. Vehicle specifications are indicative, are set by the vehicle manufacturer, and are subject to change without notice.

3.    Regulatory status. The deployment and operation of autonomous vehicles on Malaysian roads and premises is subject to applicable laws, regulations, permits and approvals, which are evolving. Any description of a deployment on the Sites relates to that deployment as conducted under its own approvals and conditions and does not represent that the same operation is permitted in any other location or context.

4.    Third-party references. References to customers, partners or third parties on the Sites do not imply any endorsement by those parties of ALS, or by ALS of those parties, beyond what is expressly stated.

5.    Forward-looking statements. Statements on the Sites about ALS's plans, expectations, capabilities or the future of the industry are forward-looking, reflect our views at the date they were made, and are subject to risks and uncertainties. We undertake no obligation to update them.

Third-party websites

The Sites may contain links to websites operated by third parties. These links are provided for convenience only. ALS has no control over, and accepts no responsibility for, the content, availability or privacy practices of third-party websites, and their inclusion does not imply endorsement.

Availability

We do not guarantee that the Sites will be available at all times or free from errors, interruptions or defects. We may modify, suspend or discontinue any part of the Sites at any time without notice.

Disclaimer of warranties

To the fullest extent permitted by law, the Sites and their content are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy or availability.

Limitation of liability

To the fullest extent permitted by law:

a.    ALS, its directors, officers, employees, agents and affiliates shall not be liable for any indirect, incidental, special, consequential or punitive loss or damage, or for any loss of profit, revenue, business, contracts, goodwill or data, arising out of or in connection with your use of, or inability to use, the Sites or any content on them, whether in contract, tort (including negligence), breach of statutory duty or otherwise, even if advised of the possibility of such loss;

b.    ALS's total aggregate liability arising out of or in connection with the Sites shall not exceed RM[1,000].

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot be excluded or limited under Malaysian law.

Indemnity

You agree to indemnify and hold harmless ALS and its directors, officers, employees and agents from and against any claims, liabilities, losses, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms or your misuse of the Sites.

Privacy

Our collection and use of personal data through the Sites is governed by our Privacy Policy, which forms part of these Terms.

Changes to these Terms

We may revise these Terms at any time by posting the updated version on the Sites with a revised "Last updated" date. Your continued use of the Sites after any change constitutes acceptance of the revised Terms.

General

1.    Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and ALS regarding use of the Sites.

2.    Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

3.    No waiver. Any failure by ALS to enforce a provision of these Terms shall not constitute a waiver of that provision or of any other provision.

4.    Assignment. You may not assign or transfer your rights under these Terms. ALS may assign its rights to any successor or affiliate.

5.    Third parties. Except as expressly provided, no person other than you and ALS has any right to enforce these Terms.

Governing law and jurisdiction

These Terms are governed by the laws of Malaysia. You agree to submit to the exclusive jurisdiction of the courts of Malaysia in respect of any dispute arising out of or in connection with these Terms or the Sites.
